By accessing or using BookingService.ai ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age, or if you are under 18, that you have obtained parental or guardian consent to use the Service. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Service following any changes constitutes acceptance of those changes.

2. Description of Service

BookingService.ai provides an AI-powered booking and scheduling platform that includes: Core Features: • Online appointment scheduling and management • AI phone agent for handling booking calls • Customer relationship management • Payment processing integration • Automated notifications and reminders • Analytics and reporting AI Services: Our AI systems, including voice agents, are designed to handle customer interactions on your behalf. You understand and acknowledge that: • AI responses may not always be perfect or appropriate • You remain responsible for the business decisions and customer relationships • AI-generated content and interactions are subject to our AI guidelines

3. User Accounts

Account Creation: To access certain features, you must create an account. You agree to: • Provide accurate, current, and complete information • Maintain the security of your password • Accept responsibility for all activities under your account • Notify us immediately of any unauthorized use Account Termination: We may suspend or terminate your account if: • You violate these Terms • You engage in fraudulent or illegal activities • You fail to pay applicable fees • Your use poses a security risk to the Service You may terminate your account at any time through your account settings or by contacting support.

4. Subscription and Payments

Billing: • Subscription fees are billed in advance on a monthly or annual basis • All fees are non-refundable except as expressly stated in these Terms • We may change pricing with 30 days notice Payment Terms: • Payment is due upon subscription or renewal • We accept major credit cards and other payment methods as displayed • You authorize us to charge your payment method for all fees Customer Booking Cancellations and Refunds: • Businesses using our booking tools may configure cancellation windows and refund conditions • Refund percentages and cancellation fee deductions are configured per payment provider (for example, Stripe and Iyzico) and may vary by business policy • Cancellation eligibility is determined by the cancellation window shown at booking time • By accepting booking terms and completing payment, the customer agrees to the applicable cancellation and refund policy Free Trial: • Free trials are subject to eligibility requirements • We may require payment information before the trial begins • Your subscription will automatically convert to a paid plan unless cancelled Cancellation: • You may cancel your subscription at any time • Cancellation takes effect at the end of the current billing period • No refunds are provided for partial billing periods

5. Acceptable Use Policy

You agree not to use the Service to: Prohibited Activities: • Violate any applicable laws or regulations • Infringe on intellectual property rights • Transmit malware, viruses, or malicious code • Attempt to gain unauthorized access to our systems • Interfere with the proper functioning of the Service • Harass, abuse, or harm other users • Send spam or unsolicited communications • Engage in fraudulent or deceptive practices AI-Specific Restrictions: • Do not use AI features for unlawful purposes • Do not attempt to manipulate or "jailbreak" AI systems • Do not use AI to generate harmful, misleading, or illegal content • Do not represent AI-generated communications as human without disclosure We reserve the right to investigate and take appropriate action against violations.

6. Intellectual Property

Our Intellectual Property: The Service and its original content, features, and functionality are owned by BookingService.ai and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Your Content: You retain ownership of content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute that content in connection with the Service. Feedback: Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to compensate you. AI Training: We may use anonymized and aggregated data from your use of the Service to improve our AI systems and services.

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Data Processing: • We process personal data as described in our Privacy Policy • For business customers, we act as a data processor for customer booking data • We maintain appropriate security measures to protect your data Data Portability: You may export your data at any time through the Service dashboard or by contacting support. Compliance: We comply with applicable data protection laws including GDPR and CCPA.

8. Third-Party Services

The Service may integrate with third-party services, including: • Payment processors (e.g., Stripe) • Calendar services (e.g., Google Calendar, Outlook) • Communication services (e.g., Twilio, SendGrid) Third-Party Terms: Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services. Integrations: We do not guarantee the availability or functionality of third-party integrations and may modify or discontinue integrations at any time.

AS-IS Service: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI Disclaimers: • AI systems may produce inaccurate or inappropriate responses • AI is not a substitute for professional judgment or advice • AI availability may be subject to technical limitations No Guarantee: We do not guarantee that: • The Service will be uninterrupted or error-free • Defects will be corrected • The Service is free of viruses or harmful components • Results from the Service will meet your requirements

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOKINGSERVICE.AI SHALL NOT BE LIABLE FOR: • Indirect, incidental, special, consequential, or punitive damages • Loss of profits, revenue, data, or business opportunities • Damages arising from your use or inability to use the Service • Damages arising from any third-party services • Damages exceeding the amount you paid us in the 12 months preceding the claim This limitation applies regardless of the legal theory (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow limitations on implied warranties or liability, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless BookingService.ai, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or related to: • Your use of the Service • Your violation of these Terms • Your violation of any third-party rights • Your content submitted to the Service • Your business operations and customer relationships We reserve the right to assume exclusive defense and control of any matter subject to indemnification.

12. Dispute Resolution

Informal Resolution: Before filing a formal dispute, you agree to contact us at legal@bookingservice.ai to attempt to resolve the dispute informally. Arbitration: Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California. Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration. Exceptions: The following disputes are exempt from arbitration: • Claims for injunctive relief • Intellectual property disputes • Small claims court actions

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in San Francisco County, California for any actions not subject to arbitration.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by: • Posting the updated Terms on our website • Sending an email to registered users • Displaying a notice within the Service Changes become effective 30 days after posting unless otherwise specified. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may cancel your subscription.

15. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and BookingService.ai regarding the Service. Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall continue in effect. Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision. Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights to any affiliate or successor. Force Majeure: We shall not be liable for delays or failures due to circumstances beyond our reasonable control.
